These terms constitute a legally binding agreement between the client (“you”) and Digital Solutions Dubai.

Scope of Services
1. Web Development & Design
As a specialized Web Development Company, we provide custom website builds, e-commerce solutions, and software engineering. Each project is governed by a specific Statement of Work (SOW). Any modifications to the project scope after the SOW is signed may result in additional fees and timeline adjustments.
2. Digital Marketing Services
As the #1 Digital Marketing Agency Dubai trusts, we provide SEO, PPC (Google/Meta Ads), Social Media Management, and Content Creation. While we employ industry-leading strategies to maximize your ROI, the client acknowledges that search engine algorithms and third-party advertising platforms (Google, Meta, TikTok) are beyond our direct control. We do not guarantee specific rankings or sales figures but guarantee professional execution of all agreed-upon strategies.
Client Obligations
To ensure the success of our web development and digital marketing efforts, the client agrees to:
Provide timely feedback and approvals on designs and copies.
Provide access to necessary accounts (hosting, domain, Google Analytics, Ad Managers).
Ensure all materials provided (images, logos, text) do not infringe on any third-party intellectual property rights.
Payment Terms & VAT
Web Development Projects: Typically require a 50% upfront deposit before work commences, with milestones payments thereafter.
Digital Marketing Retainers: Billed monthly in advance.
Ad Spend: All payments for advertising spend (Google Ads, Meta Ads) are paid directly by the client to the respective platforms. Our fees are for management and strategy only.
VAT: In accordance with UAE law, a 5% Value Added Tax (VAT) will be applied to all invoices for services rendered within the United Arab Emirates.
Late Payments: We reserve the right to suspend services (including taking down developmental sites or pausing ad campaigns) if payments are delayed by more than 7 days from the due date.
Intellectual Property Rights
Client Ownership: Upon full and final payment, the client owns the frontend design, content, and the specific domain of the website developed by us.
Agency Ownership: Digital Solutions Dubai retains ownership of any proprietary “base code,” pre-existing frameworks, or specialized marketing automation tools used during the project.
Portfolio Usage: We reserve the right to showcase your project in our portfolio as a demonstration of our web development and digital marketing expertise, unless a Non-Disclosure Agreement (NDA) states otherwise.
Limitation of Liability
Under no circumstances shall Digital Solutions Dubai be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data, arising from the use of our services. While we provide high-security web development, we are not responsible for third-party server hacks, platform outages (Google/Meta), or search engine algorithm updates that may affect your business.
Termination
Either party may terminate a digital marketing retainer with a 30-day written notice. For web development projects, if the client terminates the project before completion, the initial deposit is non-refundable, and the client will be billed for all work completed up to the date of termination.
Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the with the international standards LAW as applied in the World.
